These Terms of Use ("Terms") constitute a legally binding agreement between you and Abundance Accounting & Tax("Abundance Accounting & Tax", "we", "us", or "our") governing your access to and use of our website located at https://abundanceacct.com and any related content, features, or services (collectively, the "Services"). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

We provide information about accounting, tax, bookkeeping, and advisory services. Any engagements for professional services are subject to separate written agreements that define scope, deliverables, and fees. We may update, enhance, or discontinue features at any time in our discretion.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. 8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL Abundance Accounting & Tax OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless Abundance Accounting & Tax and our affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of another person or entity.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information about you.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles, and the United States of America, as applicable.

12. Dispute Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at admin@abundanceacct.com. If we cannot resolve it within 30 days, either party may bring a claim in the state or federal courts located in Florida, and both parties consent to the personal jurisdiction and venue of those courts.

13. Changes to the Services or Terms

We may modify the Services and these Terms at any time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and Abundance Accounting & Tax regarding the Services and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a merger, acquisition, or asset sale.
